Un tribunal d’arbitrage de Moscou a ordonné à la société d’ingénierie italienne Tecnimont S.p.A. et à sa filiale russe de payer plus de 2,19 milliards de dollars de dommages et intérêts et de pénalités, exerçant ainsi une nouvelle pression financière et géopolitique sur sa société mère, MAIRE S.p.A., cotée à Milan.
Cette décision, qui équivaut à peu près à la moitié de la valeur boursière actuelle de MAIRE, marque une escalade brutale dans un différend portant sur l’arrêt de la construction d’une usine d’ammoniac et d’urée dans la ville de Kingisepp, dans le nord-ouest de la Russie. Ce qui a commencé comme un désaccord commercial avec EuroChem Severo-Zapad 2, une filiale du géant suisse des engrais EuroChem Group AG, s’est maintenant transformé en un risque plus large pour le groupe italien.
EuroChem Severo-Zapad 2 et Tecnimont ont signé un contrat de construction en 2019. Selon le calendrier initial du projet, l’installation devait commencer à fonctionner en 2023 et produire jusqu’à 1,1 million de tonnes d’ammoniac et 1,4 million de tonnes d’urée par an. Mais en 2022, après l’introduction des sanctions occidentales, Tecnimont a interrompu les travaux, déclenchant une série d’actions en justice à Londres et à Moscou. EuroChem affirme que les problèmes étaient antérieurs aux sanctions et a accusé l’entrepreneur d’avoir agi de mauvaise foi.
Les tribunaux ont gelé les actifs, élargi la liste des défendeurs et accepté une plainte distincte directement contre MAIRE. EuroChem a également mis en garde 16 grandes banques italiennes contre les risques liés au traitement des paiements relatifs à Tecnimont. La décision du 27 novembre impose des dommages et intérêts importants, des pénalités pour enrichissement sans cause et des intérêts, le tout soutenu par les procureurs de l’État, ce qui souligne le poids politique de l’affaire.
MAIRE a déclaré dans un communiqué que le jugement n’avait “aucun impact” sur le groupe et qu’il “contesterait vigoureusement les actions illégales” d’EuroChem, tout en demandant plus de 700 millions d’euros de compensation à l’entreprise. Les investisseurs ne semblent pas convaincus : les actions de la société ont chuté de plus de 7 % le mois dernier et les analystes se sont interrogés sur l’absence d’informations détaillées concernant une menace juridique et financière d’une telle ampleur.
Le rapport financier de la société pour les neuf premiers mois de l’année ne fait aucune référence au risque de plusieurs milliards d’euros, et MAIRE n’a constitué aucune provision. Dans le même temps, le groupe a augmenté ses emprunts : sa filiale NextChem a levé 137,5 millions d’euros, étendu son programme de billets de trésorerie et obtenu l’approbation du conseil d’administration pour de nouvelles obligations à hauteur de 300 millions d’euros.
Les analystes estiment que le manque de communication suscite des inquiétudes en matière de gouvernance. Certains comparent la situation aux crises d’entreprises européennes précédentes, notamment celles de Parmalat et de Volkswagen, où le manque de transparence a aggravé les retombées. Selon les normes IFRS, les entreprises doivent divulguer les risques importants et constituer des provisions lorsque des pertes sont probables. Une provision de 2,19 milliards de dollars réduirait à néant les 692 millions d’euros de fonds propres de MAIRE et pourrait entraîner des défaillances croisées sur plus de 1,2 milliard d’euros de dettes.
Les entreprises européennes ont longtemps considéré que les décisions des tribunaux russes comportaient peu de risques d’application à l’étranger. Cette hypothèse s’est affaiblie depuis que la Cour suprême d’Afrique du Sud a exécuté un jugement de Moscou contre Google International LLC en 2025 – un signe que les plaintes russes peuvent gagner du terrain dans les juridictions où Moscou maintient son influence.
Ce précédent est important pour MAIRE, qui opère en Afrique, en Asie centrale et au Moyen-Orient. Au Kazakhstan, les médias locaux ont rapporté que KMG PetroChem, un client important, a demandé des consultations urgentes avec Tecnimont à la suite de la décision.
L’escalade du conflit attire également l’attention à Rome, compte tenu de l’importance de MAIRE pour l’empreinte industrielle de l’Italie à l’étranger. Les avocats de la société ont averti les prêteurs des risques pesant sur les lignes de crédit, et les actions restent sous pression.
Certains investisseurs estiment que MAIRE doit maintenant préciser si elle prévoit de négocier avec les parties prenantes russes ou si elle continue d’affirmer que la décision n’a pas d’incidence pratique. Les analystes avertissent que la fenêtre pour un règlement se rétrécit et qu’un silence prolongé pourrait aggraver les conséquences financières et politiques pour le groupe.
