La transaction, confirmée par les deux parties, inclurait les trois compagnies aériennes du groupe – Volga-Dnepr, Atran et AirBridgeCargo (ABC) – ainsi que ses filiales d’ingénierie et de maintenance. Aucun prix d’achat n’a encore été divulgué. Solodilin présente la transaction non pas comme un transfert de propriété, mais comme une tentative de stabilisation et de préservation d’une entreprise réelle qui a été malmenée par les sanctions et l’endettement.
Un plan de redressement stratégique
À la suite d’un audit interne, Solodilin a élaboré une stratégie détaillée de restructuration de la dette. On estime que Volga-Dnepr doit environ 500 millions de dollars aux bailleurs, tandis que sa flotte immobilisée pourrait valoir jusqu’à 1 milliard de dollars. L’élément central de son plan est la restitution de neuf Boeing 747-8 de la flotte d’ABC à des bailleurs étrangers, une approche qui nécessitera des négociations avec les autorités de l’État russe pour obtenir les approbations nécessaires. Dans le même temps, des efforts sont déployés pour ramener les avions détenus à l’étranger, notamment trois An-124 détenus à Leipzig et un Boeing 737-800 à Cologne. Le groupe a également l’intention de remettre en service plusieurs de ses Boeings et d’ajouter éventuellement à sa flotte des Il-96, des Tu-204 et des Tu-214 de fabrication russe.
D’un leader mondial à une victime des sanctions
Jusqu’en 2022, Volga-Dnepr était l’un des plus grands opérateurs mondiaux de fret lourd et hors gabarit. Cependant, les sanctions occidentales ont cloué au sol la majeure partie de sa flotte internationale. Sur 11 An-124, seuls trois sont encore en état de vol ; les 14 Boeings d’ABC sont stockés ; et Atran n’exploite plus que deux An-12.
Le fondateur du groupe, Alexey Isaikin, a récemment proposé de céder l’entreprise à l’État russe pour éviter la faillite. Mais le ministère des transports a rejeté cette proposition, arguant que la participation de l’État saperait la stratégie anti-sanctions de Moscou.
Perspectives de redressement
Les observateurs du secteur estiment que l’expérience de M. Solodilin en matière de partenariats internationaux dans le domaine de l’aviation pourrait s’avérer décisive pour résoudre les différends avec les bailleurs étrangers et débloquer les actifs détenus. Lorsqu’il dirigeait Zhukovsky, il a travaillé avec le groupe lituanien Avia Solutions, la société azerbaïdjanaise SilkWay Holding et l’opérateur de l’aéroport de Munich dans le cadre de coentreprises. Ces antécédents sont considérés comme essentiels pour instaurer la confiance avec les partenaires et les créanciers étrangers.

Les défis du marché à venir
Les experts rappellent toutefois que la Russie ne dispose pas actuellement d’un marché intérieur viable pour les Boeing 747. Les limitations en matière de maintenance et la concurrence féroce des transporteurs chinois restent des obstacles majeurs. Les analystes soulignent la nécessité d’un nouveau modèle commercial durable, notant que les opérations mondiales précédentes de Volga-Dnepr reposaient sur des réseaux internationaux “autour du monde” qui ne sont plus viables en raison des sanctions.
Néanmoins, si le groupe EAS parvient à restructurer ses dettes, à obtenir l’approbation de l’État pour les transferts d’avions et à réactiver sa flotte, certains pensent que Volga-Dnepr pourrait tracer la voie du redressement. Comme l’a fait remarquer un analyste, “la restitution des avions aux opérations ou aux propriétaires est une étape cruciale dans le rétablissement de la viabilité – mais la construction d’un nouveau modèle rentable pour le marché russe en mutation sera le véritable test”.
